  1. Introduction

    These Terms of Service ("Terms") constitute an agreement between you ("you") and fair pair ("fair pair", "we", "us", or "our"). The Terms govern the relationship between you and fair pair regarding your access to, and use of, fair pair's software program, applications, website ("Site"), content, products, and any related services (the "Service").

    These Terms are legally binding, and you should read them carefully before installing, using, or otherwise accessing the Service. The Service is offered subject to your compliance with the Terms and all other operating rules, policies, and procedures.

    IMPORTANT NOTICE: By installing, using, or otherwise accessing our Service, you agree to the Terms. If you do not agree with the Terms, you may not install, use, or otherwise access the Service. Use of the Service is void where prohibited.

    IMPORTANT NOTICE FOR RESIDENTS IN THE UNITED STATES ONLY: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 13 BELOW.

    By using the Service, you acknowledge that you have read and understood the terms of fair pair's Privacy Policy, available at https://www.getfairpair.com/privacy.

    fair pair reserves the right, at its discretion, change, modify, add or remove portions the Terms, its Privacy Policy, and other relevant fair pair policies at any time by posting the updated Terms. If you continue to use the Service after we have posted the modified Terms on the Site or Service or notified you, you will be deemed to have accepted the modified Terms by continuing to use the Service. If at any point you do not agree to any portion of the then-current version of the Terms, our Privacy Policy, or any other fair pair policy, rules or codes of conduct relating to your use of the Service, your right to use the Service shall immediately terminate, and you must immediately stop using the Service. fair pair reserves the right, at its discretion, to modify, suspend, or discontinue, temporarily or permanently, all or any part of the Service at any time and without notice or liability to you.

  2. Use of the Service
    1. Eligibility

      To use the Service, you must be the legal age of majority in your country of residence. If you are under the age of majority, and you are legally permitted to work in the jurisdiction in which you reside, you represent that a parent or legal guardian has reviewed and agrees to the Terms on your behalf.

    2. Your Account

      In order to access and use the Service, you will need to register with fair pair and create an account ("Account"). When creating your account or uploading information to the services through your account, you represent and warrant that you will provide accurate and complete information. You are responsible for maintaining the confidentiality of your account, including the login and passwords for your Account. You are expected to use "strong" passwords (passwords that use a combination of upper and lowercase letters, numbers and symbols) with your account. You are solely responsible for all activities that occur under your Account.

      By connecting to the Service using a third-party service (including, for example, a social networking site), you give us permission to access and use your information from that service as permitted by that service, and to store your log-in credentials for that service. You agree that we are not liable for any personal data that is made available to us in violation of your privacy settings with the applicable social networking site or other third-party service.

      fair pair reserves the right at any time and from time to time, to disable or terminate your account, any username, password, or other identifier, whether chosen by you or provided by fair pair, in fair pair's sole discretion for any or no reason, including any violation of the Terms. Upon any such termination, all the provisions of the Terms shall continue to survive except for any provisions that grant you access to any of the Service. You agree that we will have no liability to you for any termination or suspension of your access to the Service or your account, or the deletion of information contained within such account.

      Notwithstanding anything to the contrary herein, you acknowledge and agree that you shall have no ownership or other property interest in the Account and that all rights in and to the Account are and shall forever be owned by and inure to the benefit of fair pair.

    3. Limited Use License

      Subject to your acceptance of, and continuing compliance with, the Terms and any other relevant fair pair policies, fair pair grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to download, install, use, and access the Service for your own purposes, and not for re-sale, re-licensing or provision to a third-party, and strictly in accordance with the Terms. You agree not to use the Service for any other purpose.

      You may use the Service only on a computer, cellphone, digital tablet, or other device that you own or control and only as permitted by the Terms and the Terms and Conditions of the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) by which the Service has been downloaded to your device (the "Application Store").

    4. Use Restrictions

      You agree not to, and you will not permit others to:

      • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Service or make the Service available to any third party.
      • Copy or use the Service for any purpose other than as permitted under this Section (Limited License).
      • Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Service.
      • Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of fair pair or its affiliates, partners, suppliers or the licensors of the Service.
      • Institute, assist, or become involved in any type of attack, including without limitation distribution of a virus, denial of service attacks upon the Service, or other attempts to disrupt the Service or any other person's use or enjoyment of the Service.
      • Use the Service to advertise, or solicit, or transmit any commercial advertisements, including chain letters, junk or spam e-mail or repetitive or misleading messages to anyone.
      • Use the Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms or applicable documentation.
      • Engage in any act that fair pair deems to be in conflict with the spirit or intent of the Service or make improper use of fair pair's support services.
      • Attempt to gain unauthorized access to any part of the Service or its related systems or networks.
      • Post any information that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable or offensive or engage in ongoing toxic behavior.
      • Post any information that contains nudity, excessive violence, or offensive subject matter or that contains a link to such content.
      • Attempt to, or harass, abuse, or harm, or advocate or incite harassment, abuse, or harm of another person, group, including fair pair employees, such as fair pair customer service representatives.
      • Encourage, authorize, or enable anyone to do any of the foregoing.

      In addition, You accept full responsibility for any unauthorized use of the Service by minors. You are responsible for any use of your credit card or other payment instrument (such as Paypal) by minors.

  3. Ownership and Intellectual Property

    You acknowledge and agree that you shall have no ownership or other property interest in the service, and that all such rights are and shall forever be owned by and inure to the benefit of fair pair. Except as expressly licensed to you herein, all right, title, and interest in and to the Service, including without limitation any and all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, are owned by fair pair or fair pair's licensors. The limited license granted to you under these Terms does not give you any title or ownership in the Service and should not be construed as a sale or transfer or any intellectual property rights in or relating to the Service.

    1. Soft Skills Engine Trade Secret Protection

      The structure and content of Fair Pair's soft skills assessment engine, including but not limited to psychometric item pairings, forced-choice logic, trait mappings, social desirability balancing, scoring matrices, and behavioral compatibility algorithms, constitute trade secrets and proprietary intellectual property of Fair Pair Inc. You may not attempt to reverse engineer, reconstruct, clone, or derive any aspect of this system.

    2. Behavioral Output Use Restriction

      Use of the Service does not grant you any license to use or replicate the behavioral outputs, predictive models, or trait-matching results generated by the test. These outputs are proprietary to Fair Pair and may not be scraped, extracted, trained upon, or embedded in external systems without explicit written consent. Outputs include, without limitation, compatibility scores, match fit indices, trait-level distributions, or inferred work-style indicators.

    3. AI Replication Prohibition

      You agree not to upload, generate, or distribute any content created for the purpose of mimicking, replicating, paraphrasing, or reconstructing the structure or scoring outputs of the Fair Pair soft skills test using AI models or automated systems.

  4. User Content
    1. Sensitive Data Disclaimer

      You agree not to upload, store, or transmit any sensitive personal data (including but not limited to health records, biometric identifiers, government-issued identification numbers, or financial account information) through the Service. fair pair disclaims all liability related to the receipt or storage of such data if submitted in violation of this provision.

      The Service allows you to post or provide content that may be viewable by other users, including but not limited to job advertisements, company information, job seeker qualifications information, messages, comments, questions, and other content or information ("User Content").

      fair pair cannot and does not review all User Content posted to the Service, and therefore cannot be responsible for that material's content, use or effects. By operating the Service, fair pair does not represent or imply that it endorses the User Content posted or provided thereon, or that it believes such material to be accurate, useful or non-harmful. You understand that by using the Service you may be exposed to User Content that is inaccurate, incomplete, illegal, misleading, false, offensive, constitutes spam, or is otherwise unsuited to your purpose, and you accept that it is your responsibility to verify the quality, accuracy, truthfulness, legality or reliability of User Content. You agree that under no circumstances will fair pair be responsible or liable in any way for any User Content, including any errors or omissions in any User Content, or any loss or damage of any kind incurred as a result of your use or access of any User Content.

      You are solely responsible for your interactions with other users of the Service and any other parties with whom you interact through the Service. fair pair reserves the right, but has no obligation, to become involved in any way with these disputes.

    2. Prohibited User Content

      You may post only career and job-related User Content to the Service. The following are illustrative, non-exhaustive examples of User Content that fair pair prohibits to be posted on or through the Service:

      • Unlawful content or content promoting unlawful activity.
      • Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
      • Spam, machine-or-randomly-generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
      • Material containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
      • Material infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
      • Material aimed at impersonating any person or entity including fair pair and its employees or representatives.
      • Material violating the privacy of any person or entity.
      • Material containing false information and features.

      fair pair reserves the right, but not the obligation to, in its sole discretion, determine whether or not any User Content is appropriate and complies with the Terms and to refuse or remove any User Content. fair pair further reserves the right to make formatting edits and change the display manner of any User Content. fair pair can also limit or revoke the use of the Service if you post User Content in violation of the Terms.

    3. User Interactions and Responsibility

      You are solely responsible for your interactions with other users of the Service and any other parties with whom you interact through the Service. You understand that fair pair does not, and cannot, confirm that each user is who they claim to be. fair pair is not responsible for authenticating users and it is your responsibility to conduct the appropriate due diligence before communicating or interacting with other users, including, without limitation, job seekers, employers, hiring managers or other individuals or entities. You assume all risks associated with users with whom you come into contact. If you have any disputes or issues with any user, you agree to pursue any remedies directly with that user, without responsibility or liability of fair pair.

    4. License Grant to fair pair

      By providing User Content or any other material to fair pair for inclusion on the Service or for any other purpose, you grant fair pair a world-wide, perpetual, royalty-free license (with right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content or material in any and all media or distribution methods (existing or subsequently developed). Additional uses by fair pair, or other companies or individuals who partner with fair pair, may be made with no compensation paid to you with respect to the User Content or material that you submit, post, or otherwise make available to fair pair or through the Service.

  5. Paid Employer Service Terms

    fair pair offers its Services to employers or hiring managers on a pay-per-search payment fee based upon each individual job opening created. Paying for a single search and making more than one hire from that paid search is a violation of fair pair's Terms of Service and you will be banned from using the Service.

    1. Late Payment and Chargebacks

      If any invoice remains unpaid for more than 10 days from its due date, fair pair reserves the right to assess a late fee of 1.5% per month, or the maximum rate permitted by law, whichever is less. Additionally, if any chargeback is initiated against a fair pair payment without prior written dispute notice and a good faith attempt at resolution, your account may be immediately terminated and barred from future use. All costs associated with resolving such chargebacks, including but not limited to legal and administrative fees, will be borne by you.

      All fees are payable in United States Dollar currency. fair pair offers payment for you to purchase its Service by credit card. fair pair reserves the right to request additional evidence or proof of billing information or other information associated with the credit card account used to purchase the Service from fair pair. In the event that the requested evidence or proof is not provided or is insufficient, we reserve the right to refuse to accept the order.

      By ordering a paid Service through fair pair, you authorize fair pair to immediately charge your debit card accordingly, including any and all applicable and relevant state sales tax.

      fair pair may change its pricing and/or billing practices at any time and without need for written consent or approval of these changes. If you do not agree with these changes, you will remain responsible for payment of any and all fees that you have already incurred. Continued enrollment after any such pricing and/or billing practices constitutes consent to any and all such changes. If you fail to make any payment for a fair pair Service, fair pair may, in its sole discretion, terminate your Account.

    2. Sales Finality

      All sales of fair pair's Service are final. You will be responsible for paying the costs associated with any invoices or bills already issued to you and/or received by you by your bank or credit card company.

    3. Refund Policy

      All sales of fair pair's Service are final. fair pair does not offer refunds.

    4. Tax Obligations

      All orders are subject to applicable taxes in the states or countries where the member resides.

    5. Discounts and Promotions

      Any applicable discounts or promotional prices will be noted at the time of purchase on the checkout page for your order.

  6. Modifications to the Service

    You understand that the Service is an evolving one. fair pair reserves the right to modify, suspend or discontinue, temporarily or permanently, the Service or any service to which it connects, with or without notice and without liability to you.

    1. Service Enhancements and Updates

      fair pair may from time to time provide enhancements or improvements to the features/functionality of the Service, which may include patches, bug fixes, updates, upgrades and other modifications.

      Updates may modify or delete certain features and/or functionalities of the Service. You agree that fair pair has no obligation to (i) provide any updates, or (ii) continue to provide or enable any particular features and/or functionalities of the Service to you.

      You further agree that all updates or any other modifications will be (i) deemed to constitute an integral part of the Service, and (ii) subject to these Terms.

    2. Maintenance and Support Disclaimer

      fair pair does not provide any maintenance or support for the download and use of the Service. To the extent that any maintenance or support is required by applicable law, the Service, not the Application Store, shall be obligated to furnish any such maintenance or support.

  7. Third Party Services Disclaimer

    The Service may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services.

    You acknowledge and agree that fair pair shall not be responsible for any third-party services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. fair pair does not assume and shall not have any liability or responsibility to you or any other person or entity for any third-party services.

    You must comply with applicable third parties' terms of service or user agreement when using the Service. Third-party services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties' terms of service or user agreements.

  8. Privacy Policy

    fair pair collects, stores, maintains, and shares information about you in accordance with our Privacy Policy, available at https://www.getfairpair.com/privacy.

    By accepting these Terms, You acknowledge that you have read and understand our Privacy Policy.

  9. Termination of Service

    We may terminate or suspend your Account immediately, with or without notice, if we believe you have breached these Terms, engaged in fraudulent, abusive, or unlawful activity, or if we are required to do so by law or regulatory order. Termination includes the removal of access to the Service and deletion of your Account.

    If you wish to terminate your Account, you may simply discontinue using the Service.

    Upon termination, your right to use the Service will cease immediately. If you wish to terminate your Account, you may simply discontinue using the Service.

  10. Indemnification

    You agree to indemnify and hold fair pair and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from and against all claims, demands, actions, liabilities, losses, expenses, damages, and costs, including actual attorneys' fees, resulting from your violation of the material terms of these Terms, any misuse or abuse of the Service, any use of the Service that amounts to infringement, or infringement by any other user of your account of any intellectual property or other right of fair pair or any other third party. You will cooperate as fully as reasonably required in fair pair's defense of any claim. fair pair reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of fair pair. You agree immediately to notify fair pair of any unauthorized use of your account or any other breach of security known to you.

  11. Limitation of Liability

    Notwithstanding anything to the contrary, in no event shall Fair Pair be liable to you under any provision of this agreement in excess of, and your exclusive remedy for all of the foregoing shall be limited to, the amount actually paid by you for the service or through the service.

    To the maximum extent permitted by applicable law, in no event shall Fair Pair be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the service, third-party software and/or third-party hardware used with the service, or otherwise in connection with any provision of this service), whether or not Fair Pair has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

    You expressly understand and agree that the application store, its subsidiaries and affiliates, and its licensors shall not be liable to you under any theory of liability for any direct, indirect, incidental, special consequential or exemplary damages that may be incurred by you, including any loss of data, whether or not the application store or its representatives have been advised of or should have been aware of the possibility of any such losses arising.

  12. No Warranties Disclaimer
    1. Service Availability and Data Integrity

      While Fair Pair strives to ensure the reliability of the service, you acknowledge that the service may be interrupted or unavailable from time to time due to maintenance, upgrades, emergency repairs, network failures, or force majeure events.

      Fair Pair does not guarantee that any data you store or access through the service will be preserved without loss. You are solely responsible for backing up your data.

    The service is provided to you "as is" and "as available" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Fair Pair, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, Fair Pair provides no warranty or undertaking, and makes no representation of any kind that the service will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

    Without limiting the foregoing, neither Fair Pair nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the service, or the information, content, and materials or products included thereon; (ii) that the service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the service; or (iv) that the service, its servers, the content, or e-mails sent from or on behalf of the company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

    Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

  13. Dispute Resolution Framework

    This Section applies to you if you reside in the United States. You and fair pair agree that the processes for dispute resolution described in this agreement will apply to any dispute or claims related to these Terms of Service, the Privacy Policy, or the Service. Disputes include any claims of any kind, including but not limited to legal, equitable, or statutory claims. Processes for dispute resolution will apply even if you stop using your Account, delete your Account, or stop using the Service. They will also apply to disputes that arose before we entered into this agreement.

    1. Informal Resolution Requirement

      You must first try to resolve informally any dispute directly with fair pair for at least 180 days before you start an arbitration. The informal dispute resolution process starts when you give fair pair written notice of the dispute by emailing support@getfairpair.com.

    2. Binding Arbitration Agreement

      You and fair pair agree to resolve any disputes exclusively in final and binding arbitration as follows:

      Either you or fair pair may choose to submit any dispute for resolution exclusively by binding arbitration unless the claim is within the exceptions described below. If you or fair pair brings a claim in court that can be resolved by arbitration under this section, then either party can ask the court to order the parties to resolve the claim by arbitration. The arbitrator will have the exclusive authority to decide whether any portion of this Section 13 ("Dispute Resolution") is valid or enforceable, or whether it applies to a claim.

      An arbitration proceeding will be held before a neutral arbitrator. This means you and fair pair agree to give up the right to resolve the dispute in a trial before a judge or jury. Arbitration has different rules than more formal lawsuits. For example, the ability to force the other side to share information may be more limited than the process called discovery in formal lawsuits. After the arbitrator decides the outcome, that decision will be final. You or fair pair can ask the arbitrator to put a decision or award and the reasons for it in writing. Either of us can ask a court to confirm or enter the arbitrator's final decision or award, which will make it the same as a court judgment. You and fair pair will generally not be able to change the outcome of arbitration through courts outside of very limited circumstances.

    3. Arbitration Procedures

      The arbitration will be run by the American Arbitration Association ("AAA"). AAA's rules and procedures will be used for the arbitration, including the Consumer Arbitration Rules. But if there is a conflict between these Terms of Service and AAA's rules and procedures, then we will follow these Terms of Service. To review AAA's Rules or to start arbitration, you can go to https://www.adr.org/Rules. If either of us decide to start arbitration, we agree to provide the other party with a written Demand for Arbitration as specified in the AAA Rules.

      The fees for arbitration will be determined by AAA's Consumer Arbitration Rules. If the arbitrator decides that those fees are excessive, fair pair will pay the fees. Each side will pay their own attorneys' fees and costs unless the claims allow for the prevailing party to recover attorneys' fees and costs, in which case the arbitrator may award them under the applicable law. If either party unsuccessfully challenges the validity of the arbitrator's decision or award through a subsequent court case, the unsuccessful party shall pay the opposing party's costs and attorneys' fees associated with the challenge.

      The arbitration will take place in Cheyenne, WY.

    4. Exceptions to Arbitration

      You and fair pair agree that the arbitration agreement in Section 13 will not apply to the following disputes:

      • Claims about fair pair's intellectual property, such as claims to enforce, protect, or concerning the validity of fair pair's copyrights, trademarks, trade dress, domain names, patents, trade secrets, or other intellectual property rights.
      • Claims related to piracy or tortious interference.
      • Claims that are not subject to an arbitration agreement as a matter of law and are not preempted by federal law that would allow for an agreement to arbitration.
      • Claims in small claims court.

      Any dispute not subject to arbitration under these exceptions shall be resolved by a court of competent jurisdiction as described in Section 15 ("Venue for Disputes Not Subject to Arbitration").

    5. No Class Actions

      You and fair pair agree that we can only bring claims against each other on an individual basis.

      That means:

      • You cannot bring a claim against fair pair as a plaintiff or class member in a class, collective, consolidated, or representative action.
      • The arbitrator cannot combine any other person's claims with yours into a single case or preside over any class, collective, consolidated, or representative arbitration proceeding.
      • The arbitrator's decision or award in your case will not apply to anyone else and cannot be used to decide other people's disputes.

      If this section (Section 13.5, "No Class Actions") is found to be unenforceable or invalid, then the entirety of Section 13.5 shall be void.

  14. Governing Law

    Any dispute arising out of or related to these Terms shall be governed in all respects by the laws of Wyoming without regard to conflict of law provisions. If you are a resident of the United States, the United States Federal Arbitration Act governs the interpretation and enforcement of the agreement to arbitrate and class action waiver provisions of Section 13.

  15. Venue for Disputes Not Subject to Arbitration

    Any dispute not subject to arbitration under Section 13.4 of this agreement must be resolved exclusively by a federal or state court located in Cheyenne, WY.

  16. Severability and Waiver

    You and fair pair agree that if any provision of these Terms of Service or fair pair's Privacy Policy is found illegal or unenforceable, in whole or in part by any court of competent jurisdiction, that provision shall be enforced to the maximum extent possible, and all other provisions contained in the Terms of Service and fair pair's Privacy Policy shall remain in full force and effect.

    fair pair's failure to enforce any provision of the Terms of Service shall not be deemed a waiver of such provision nor of the right to enforce such provision.

  17. Entire Agreement
